01 Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and The Otto Firm ("The Otto Firm," "we," "us," or "our"), located at 1501 Biscayne Blvd, Miami, Florida 33132. By accessing theottofirm.com (the "Website"), submitting a form, booking an appointment, opting in to text messages, or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use the Website or our services.

02 Our Services

The Otto Firm provides business-building and consulting services, including business strategy, branding, technology and CRM setup, operations and SOPs, marketing and lead generation, sales systems, financial infrastructure, documents and contracts, and training and coaching. The specific scope, deliverables, timelines, and fees for any engagement are defined in the written agreement, proposal, or engagement letter between you and The Otto Firm.

The Otto Firm is a business consulting and systems-building company. Unless expressly stated in a written agreement, we do not provide legal, tax, accounting, investment, or financial advice, and we do not guarantee that any funding, loan, or credit will be approved or obtained.

03 Use of the Website

You agree to use the Website only for lawful purposes. You agree not to:

Provide false, misleading, or another person's information in any form or sign-up.
Attempt to gain unauthorized access to our systems, accounts, or data.
Introduce viruses, malicious code, or interfere with the operation of the Website.
Copy, scrape, resell, or exploit Website content or resources without our written permission.
Use our communications channels to send spam, harassment, or unlawful content.

04 SMS / Text Messaging Program Terms

These SMS Program Terms apply to text messages sent by or on behalf of The Otto Firm (the "Program"). By providing your mobile number and opting in, you agree to these Terms.

Program description
The Otto Firm sends text messages to individuals who have opted in, including appointment confirmations and reminders, responses to your inquiries, updates about your account and services, follow-ups on assessments or consultations, and — where you have specifically agreed — promotional offers and business-building tips and resources.

How you opt in
You may opt in by (a) checking the SMS consent box and submitting a form on theottofirm.com, (b) booking an appointment and agreeing to receive texts, or (c) texting a keyword to our number. Consent to receive text messages is not a condition of purchasing any goods or services.

SMS Consent Disclosure: By providing your phone number and opting in, you agree to receive text messages from The Otto Firm at the number provided, including messages sent using an automated system. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time. Reply HELP for info. Consent is not a condition of any purchase. Opt-out and help keywords

STOP

Reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message to opt out. You will receive one final confirmation message and no further texts unless you opt in again.

If you opted out, reply START (or UNSTOP) to resume receiving messages.

Message frequency & rates
Message frequency varies depending on your interactions and the services you use. Message and data rates may apply according to your mobile carrier plan. The Otto Firm does not charge you for text messages, but your carrier may.

Supported carriers & liability
The Program is available on most major U.S. carriers. Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your wireless provider and is outside our control.

Privacy of your mobile information
We respect your privacy. Mobile information, including phone numbers and text messaging opt-in consent, will not be shared with third parties or affiliates for marketing or promotional purposes. Please see our Privacy Policy for full details.

05 Accounts & Client Portal

If you are given access to our client portal, CRM, community, or other secured areas, you are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate access if we believe these Terms or your agreement with us have been violated.

06 Fees & Payments

Fees, payment schedules, and refund terms for our services are set out in your proposal, invoice, or engagement agreement. You agree to pay all amounts when due. Unless your written agreement states otherwise, fees are non-refundable once work has begun. Late or failed payments may result in suspension of services.

07 Intellectual Property

All content on the Website — including text, graphics, logos, templates, methodologies, frameworks (including "The Otto Firm" and our Business Build System), and software — is owned by or licensed to The Otto Firm and protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from it without our prior written consent. Ownership of client-specific deliverables is governed by your written agreement with us.

08 Earnings Disclaimer

Results are not guaranteed. Any statements on the Website or in our programs regarding income, earnings, or business outcomes are provided as examples only and do not guarantee future earnings or income. Stated results are not typical, and there is no guarantee you will achieve the same or similar results. Results vary and depend on many factors, including your skill, knowledge, ability, dedication, business savvy, network, and financial situation. Your use of any products or services offered through The Otto Firm should be based on your own due diligence. You agree that The Otto Firm (including its sponsors, promoters, advertisers, or affiliates) is not responsible for the success or failure you experience in your personal or business life.

09 Disclaimer of Warranties

The Website and our services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

10 Limitation of Liability

To the fullest extent permitted by law, The Otto Firm and its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Website or services. Our total liability for any claim will not exceed the amount you paid to The Otto Firm for the services giving rise to the claim during the three (3) months before the claim arose.

You agree to indemnify and hold harmless The Otto Firm and its owners, officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Website or services, or violation of any law or third-party rights.

12 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Website or services will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the Website or services, or continued participation in the SMS Program, after changes are posted constitutes acceptance of the revised Terms.
